Legal – Office of the Secretary – Attorney (Associate / Sr Associate).
The Office of the Secretary (“OTS”) promotes effective governance across the Firm’s branches, subsidiaries, and affiliates, and works closely with the Board of Directors and senior stakeholders. OTS manages key governance-related processes and filings and interfaces with shareholders on governance matters.
OTS is seeking an attorney to join the Subsidiary Corporate Governance Team (Americas) in São Paulo, Brazil. This role supports corporate governance legal, regulatory, and internal policy requirements for several Brazilian subsidiaries, including regulatory filings, legal entity records, signing authorities, and legal entity simplification/restructuring initiatives.
Job Responsibilities:
- Advise on subsidiary corporate governance matters and conduct legal research on corporate laws and regulations, primarily related to financial institutions.
- Prepare and manage Board, Board committee, and shareholder agendas, materials, resolutions, and minutes.
- Manage periodic and event-driven regulatory filings, including updates to regulators’ online systems.
- Maintain key legal entity records and documentation, following established procedures and checklists to ensure governance controls are met.
- Support signing authority processes, including appointment of executive officers/legal representatives and drafting/reviewing powers of attorney and related instruments.

Support legal entity simplification and restructuring initiatives.
Required qualifications, capabilities and skills
- +3 years of professional experience in a similar role.
- Law degree and active license to practice law in Brazil (OAB- Brazilian Bar Association), in good standing.
- Fluency in English.
- Corporate governance and regulatory experience, with knowledge of Brazilian corporate law — especially closely held (non-public) corporations.
- All candidates must successfully complete a conflict-of-interest clearance review prior to starting employment.
Preferred qualifications, capabilities and skills
- Experience in banking/financial services or at a law firm supporting financial institutions.
- Familiarity with governance requirements for to Brazilian financial institutions and regulatory interactions.
- Experience managing corporate records and minute books across multiple legal entities.
- Strong legal drafting skills with the ability to work independently and efficiently under time pressure and fast-paced environment.
- Detail-oriented, with comfort operating in a controlled, process-driven environment.
